Terms of Service

These Terms of Service ("Terms") are an agreement between you and Spencer G. Todd, IV, doing business as RowDraft ("we", "us") about your use of RowDraft, including the website at rowdraft.com and the app at app.rowdraft.com (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service for a company, you agree on its behalf and confirm you have authority to do so.

1. What RowDraft does

RowDraft lets you upload a spreadsheet and a document, link parts of the document to spreadsheet columns, and generate a filled-in document for each row. The Service is a drafting tool. It does not give legal advice, and it does not check that any document is correct, complete, legally valid, or suitable for your purpose.

2. Your responsibility for documents

You are responsible for the content of your templates and spreadsheets and for every document you generate, send, record, or have signed. Before using a generated document, you must review it yourself — including names, legal descriptions, amounts, dates, and any wording the Service adds or removes based on rules you set. We are not responsible for losses caused by errors in your data, your templates, or generated documents.

3. Accounts and teams

• You must be at least 18 years old and give accurate account information.
• Keep your password secret. You are responsible for activity under your account; tell us promptly at support@rowdraft.com if you think it has been used without permission.
• A workspace belongs to its owner. The owner and admins decide who is invited, what role they have, and who is removed. Projects stay with the workspace when someone leaves.

4. Plans, credits and payment

• Paid plans are billed monthly in advance through our payment processor, Stripe, and renew automatically until cancelled.
• You can cancel at any time from the billing page. Your plan stays active until the end of the period you've paid for; we don't give refunds for partial months unless the law requires it.
• Each generated document uses one credit. Monthly credits included in a plan reset each billing period and don't roll over. Purchased credit packs (100 for $5, 500 for $15, 1,000 for $25) don't expire while your workspace is open and are non-refundable once any of them have been used.
• Previews don't use credits, and a generation that fails is not charged.
• We may change prices or plan limits with at least 30 days' notice by email. Changes apply from your next billing period.
• Prices don't include taxes, which you are responsible for where they apply.

5. Your content

"Your Content" means the spreadsheets, documents, templates, and other material you upload or create. You keep all rights to Your Content. You give us permission to store, copy, convert, and process Your Content only as needed to provide, secure, and support the Service for you. We don't sell Your Content and don't use it to train artificial intelligence models.

You confirm that you have the rights and any permissions needed to upload Your Content — including personal information about other people, such as clients, customers, or property owners — and that your use of it complies with the law. Our Privacy Policy explains how we handle personal information.

6. Acceptable use

You agree not to:

• use the Service to create fraudulent, forged, or deceptive documents, or for anything illegal;
• upload material that contains malware or that you don't have the right to use;
• try to access other people's workspaces, get around plan limits or credits, or disrupt or overload the Service;
• copy, resell, or reverse-engineer the Service, except as the law allows.

7. Availability and changes

We work to keep the Service running and your data safe, but we don't promise it will always be available or error-free. We may improve, change, or discontinue features. If we discontinue the Service entirely, we will give at least 30 days' notice so you can download your work.

8. Ending your use

You can stop using the Service at any time and ask us to close your account at support@rowdraft.com. We may suspend or close accounts that break these Terms or don't pay, after notice where reasonable. After an account or workspace is closed, we delete its content as described in the Privacy Policy. Download anything you need before closing.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT GENERATED DOCUMENTS ARE ACCURATE, COMPLETE, OR LEGALLY SUFFICIENT.

10. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 IF GREATER.

11. Indemnity

You agree to defend and hold us harmless from claims by third parties arising from Your Content, documents you generate or use, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules. Any dispute will be decided in the state or federal courts located in Lafayette Parish, Louisiana, and both parties agree to those courts' jurisdiction.

13. Changes to these Terms

We may update these Terms. If a change is significant, we will email account owners at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.
